00:00:00 - [SHIY]
I don't wanna take too much time away from you. I I I have a feeling you kinda know what this is about, but did Chris talk to you?

00:00:09 - [SCOTT_WARNER]
Yeah. He mentioned he'd kinda walked me through it the other day, and I said I thought it was a great idea if it's something you were open to. And he had said he thought so, but, yeah, he wanted to have deeper conversation with you, I think, the other day because he was kinda running it by Lisa and I, and she actually asked me if I had heard anything yet. I said, not yet. But

00:00:27 - [SHIY]
Yeah. Well, first off, I wanna make sure that you realize that I I'm not I would have worked for you if it wasn't for Festool, if that makes sense. Oh, no. You're a 100 fine, dude. Yeah. Okay. Yeah. Because I and I even told Chris that I should, you know, I I had an offer from Scott. If if it wasn't with Festool, I would have jumped on it a second. So I think I

00:00:50 - [SCOTT_WARNER]
even told him because I said, you know no. Because he asked me what I thought, and I said, I think it's a great idea because I was like, wanted him to stay. I was like, he's one of my better friends here. So Mhmm. I thought it was a great idea.

00:00:59 - [SHIY]
Okay. So my second thing is I know you you're kind of the know all and be all of of Festool now. So Sure. What are your feelings of how Sustainable Systems is doing and where do you think they're going if you're able to or feel comfortable?

00:01:18 - [SCOTT_WARNER]
Yeah. So it was really touch and go for a while, and I think, you know, was actually at one point kinda considering pulling funding from it. But, when they when they got Chris to come on board, he was the original target for that CEO role. And at the time, it just didn't really work. And so then they hired Bill who was a train wreck. Nice guy, but just just a mess. And, you know, he tried his best to kill it. And then, you know, so the second round, they, I think, finally opened up to Chris a little bit more and kinda, you know, got him to, you know, take it on as a project, and and he's done great with it. I would say there's definitely no more real concerns or or or thoughts of, like, maybe we should close it or anything. I think the ideas that they had and we're trying to bring from Europe and just plant here in The US weren't really feasible. And Chris has done an amazing job of kinda reframing that to what will really work here, and I think he's got good long term plans, and he's building great partnerships with the right kind of vendors and stuff. So I would say they're behind where we would want them to be, but Chris has done so much to turn that around in in such a short time that I think there is very much belief that he's gonna get where we need them to be. I mean, they're never gonna be another, you know, 200,000,000 company, but they're gonna be, you know the the goal is that they'll come over and be, you know, a good asset and and create that you know, further create the system that we're trying to build and and things like that and really help that, you know, trades people. And and then he's got all these other ideas that I think are good. So

00:03:07 - [SHIY]
Yeah. I mean, he was walking me through some of his thoughts and plans and, you know, some of stuff I may get my hands into. And I said, it sounds good. And it I mean, I've always thought I very highly of Chris, and I think he's done a a great job. Know, I there's always that concern of I know Matt Howard is part of the board for that. Yeah. And I know I'm guessing he was part of what wanted me to go away. So that's always a concern as well. But Chris said that in in his words, he goes, I don't give a shit. This is something I want, and that's what I'm gonna do.

00:03:43 - [SCOTT_WARNER]
Matt never had anything specifically against you. I think your lack of support probably came more from Angela than anything else. And even it wasn't her targeting you guys per se, it was more of was being asked to come up with what you're gonna do with, you know, all this and she just there's some things I can't go into there yet until we go have lunch someday. Gotcha. But there's there's just a lot there. And, you know, her leadership is is not ideal at this point, so I think that's another thing in question. So but, no, I think Matt Howard would he he really does trust Chris. Matt's a relatively new member of that board, and I he's not the driving factor in any way, shape, or form. It's really the European team that gives Chris his marching orders and kinda helps him understand what day to day is gonna look like and do. But he has he's trying to build a team. People realize that, and we're trying to support him because, you know, like you said, man, Chris is one of the greatest dudes. He's he's wicked smart. He can do anything. And, you know, he and I shoot the shit all the time, and I just told him, I was like, you know, if you keep growing, bud, give me a call. Like, you know, it's like Yeah. I mean, he's he's just he's a guy that I think you can trust, and he'll do the right thing. So

00:05:05 - [SHIY]
Yeah. That's that's kinda what I'm thinking. So I just yeah. Just gotta we gotta talk talk some numbers and get that figured out with him, but I just wanted to get your your feelings on it because I know you're you're seeing a little bit of everything that's going on there.

00:05:21 - [SCOTT_WARNER]
So Yeah. I do all the legal paperwork, so it's kind of a good place to be. So

00:05:27 - [SHIY]
And another thing I I gotta confirm with him is and I you may not even have any input on this or say or or anything, but I I want to be sustainer system and sustainer systems only. No no Festool. Got TTS. Yeah. Because that that's that's one of my concerns is that, you know, the oh, why you're here? Why don't you do this? No? Yeah. So I gotta verify with him. But

00:05:56 - [SCOTT_WARNER]
Yeah. We'll have to we'll see. I mean, so did how much has he told you about the current situation? Did he kinda was he on it or not honest? Was he transparent with you about what's going on?

00:06:07 - [SHIY]
Well, I mean, so so what I I'll tell you what he told me. So the I think his name is Chad. Yeah. Chad. Yeah. So I hired Chad on to, you know, be a warehouse supervisor for Sustainer Systems. Right. And this sounds like he's not as gung ho as they would like, and he's not, you know, really jumping in and trying to really take things on.

00:06:30 - [SCOTT_WARNER]
Yeah. Lazy if the word I'd use, but that's fair.

00:06:33 - [SHIY]
Okay. That's fine. That's kinda where I was going, but I did I I met the guy, so I can't say for sure. But, yeah, that's based to where Chris is at. You know, when they were there working, you know, ten, twelve hours a day, I mean, yeah, this guy's got a payment, which I get that. But but they he wasn't even trying to, you know, work any harder.

00:06:52 - [SCOTT_WARNER]
It never said, hey, guys. I wanna stay. Sorry. I've got this going. Yeah. He was just weird. He's got a very odd personality. So

00:06:58 - [SHIY]
Well, and that's, you know, that's kinda what Chris says. Just doesn't think he's going to fit in. Yeah. He thinks he's more of a sit behind a desk and kinda tell people what to do, and that's it. He's not gonna jump in and take care of things.

00:07:12 - [SCOTT_WARNER]
So Yeah. I met this guy and found out we went to the same high school and we were I was trying to shoot the shit with him. And as soon as he found out, like, I was like, oh, we probably know some of same people. He did not wanna talk about it. He got real weird. And I was just like Oh. That's odd. Okay? So, did go to jail or something? Like, what's going on here? So, but no. I mean, he's a nice enough guy. He's just weird. So no. Chris and I I I've been kinda nudging him saying this guy's not gonna work because my team tells me that, you know, and we're we're pretty good people. We know when someone doesn't fit our our needs and Right. We picked it up pretty quick. So I said, dude, like, if you're gonna make a change, like, do it now. Don't don't wait two years down the road and then it's messy. So Yeah. But, yeah, I think we can work it now. I mean, Chad is a TTS employee technically, but he's assigned to SSNA. And the reason we did that is in case there was ever a change that happened with SSNA, we didn't want it to be, like, you know, something where we had to cut people loose as much as we didn't need to. TTS is is the stable logistics hold. We could write up either we could discuss with Lisa the idea of putting together, you know, you as a direct SSNA employee, or we could do TTS and then write out an assignment that's signed by us saying you're you're you report to SSNA only or something like that. I I'd be fine with doing that. The reason I wanted it under TTS is because then it's technically under my purview and I because I said the warehouse is mine, and I was trying to I didn't want some person I didn't know come in and make a bunch of changes to my warehouse, but I trust you. So I wouldn't have the same real problems with it, I guess.

00:08:51 - [SHIY]
So we could talk we could chat. I mean, I I have no problems dealing directly with you. My thing is there's still people in that office that I I really don't care to deal with and be part of it. I just don't wanna see all of sudden where well, you're slow here, so now you're gonna go work for the the the TTS warehouse and be packing boxes and stuff like that for them. That's kinda where I was. Okay. I

00:09:18 - [SCOTT_WARNER]
don't that I mean, yeah, I I certainly get it. I I do think maybe something formal around that wouldn't be a bad idea. We didn't do it for Chad because it wasn't something we really considered. But I I think in your situation, maybe that makes sense because I don't want Angela asking you that, you know, hey. Could you peek at this Festool Academy thing? Or, hey. Could you Yeah. Build us this? Or you know? No. That's not what your role is gonna be. So Yeah. You know, you guys meaning they shell that sail that ship already. Yeah.

00:09:47 - [SHIY]
So Wait. Is Festool Academy still a thing, or did it really?

00:09:51 - [SCOTT_WARNER]
Or No. It's still a thing, but Garrett has no technical ability there.

00:09:58 - [SHIY]
Right.

00:09:59 - [SCOTT_WARNER]
So Shawn and I actually had a meeting today, and he's like, dude, Garrett, he goes, I don't care how careful I explain this. He doesn't get it. So we're trying to figure out, like, who could own it, what it could look like. So because we I still like to use it for my teams, but does it make sense to keep it just for that? And not not the whole thing's a mess. So but Shawn and I both said we don't really have time to think about it right now. So

00:10:26 - [SHIY]
Okay. Well, I'm gonna Okay. Go for it. So I appreciate the call. Yeah. And all of you did.

00:10:34 - [SCOTT_WARNER]
So When it comes time for the employment agreement, feel free to tell Chris. You know, hey. I'd like you know, if you want me involved, you could say, you want and then he and I could work out, like Okay. Something between us or just I don't know how I don't know. Lisa's great so far ish. But, like Is

00:10:50 - [SHIY]
she the new the new head of HR?

00:10:52 - [SCOTT_WARNER]
Yeah. She's a director. But yeah. But she doesn't really know history. Right? So, you know, feel free to and she and I worked together. So if if I said I wanted to be involved, she won't care. So

00:11:03 - [SHIY]
Okay. Yeah. I'll I'll definitely do that just to make sure it's oh, and just to be clear, this this will end my severance. Correct? As soon as I I fine. Nothing.

00:11:11 - [SCOTT_WARNER]
I was actually just thinking that we've gotta I need to read that and figure out what that looks like. I I don't know. Just telling you, I I'd be willing to try to figure out how to make it work, but I don't know. I need to read it. So

00:11:24 - [SHIY]
Well, I I was actually, I haven't pulled it out. I gotta pick it up again. Was gonna read it. And if that that would change some of the things I was gonna discuss with Chris because yeah. I mean, if it ends my service right now, that's that's a big chunk of change. And Yeah. The only thing you'd have

00:11:41 - [SCOTT_WARNER]
to think is because Chad was a supervisor. I'd be willing to make you a manager because I think that's more where your skill set is. You just have to remember, we were hiring someone off the street, and we were like, let's not jump them straight to this or that. So just, you know, kinda discuss it with Chris. And feel free to say, hey. I I just happen to talk to Scott. He's you know, he mentioned that maybe that was an option, so then we can talk about it.

00:12:04 - [SHIY]
So Alright.

00:12:06 - [SCOTT_WARNER]
Does that work?

00:12:07 - [SHIY]
Yeah. If if you can look into the whole severance thing again

00:12:11 - [SCOTT_WARNER]
Hope you get it. That would

00:12:12 - [SHIY]
be great. Okay. Awesome. Well, I hope things continue to go well with your daughter, who knows maybe I'll be seeing you here in a little while.

00:12:19 - [SCOTT_WARNER]
Sounds good, buddy. Hope to see you around. Alright.

00:12:22 - [SHIY]
Talk to later.

00:12:22 - [SCOTT_WARNER]
Bye, bud. Thank you. Bye.
