Meeting Summary I walked Vera through the Canadian credit onboarding and KYC/AML disclosure workflow for Festool Canada. We confirmed the basic company details and discussed signing authority. I will list Amity Sendama (CFO) as the signing officer for this onboarding. Matt also has authority, but only one is required for this vendor form.
Most of the session focused on beneficial ownership disclosures required under FINTRAC - specifically the 25 percent direct or indirect control threshold. We stepped through the group structure and roles within the German SE & Co. KG model. Based on the look-through and role-based control: - Barbara qualifies via limited partner control in the chain. - Gerda qualifies as the general partner/managing director exercising control over the SE & Co. KG. Others appear to fall below the 25 percent indirect threshold once split across entities. If no one exceeded 25 percent, we would list managing directors, but in our case Barbara and Gerda should be included. I will document the rationale and ownership math in the file.
The vendor portal timed out and wiped the entries, so I will re-enter and submit the package, including updated ID details for Amity. Separate from onboarding, Vera flagged a minor security concern: anonymous notes placed on cars in our lot labeled attn.vera, and roughly half of the cameras are still down. We will push to restore coverage and pull what footage we have.

Additional Notes - FINTRAC thresholds and structure: The 25 percent threshold applies to direct or indirect control. In the SE & Co. KG context, Barbara (limited partner control) and Gerda (general partner/managing director) meet the control criteria; others are below 25 percent after look-through. If a look-through yields no one above 25 percent, listing managing directors is acceptable per guidance. - Data protection: I maintain passports and sensitive IDs in an encrypted repository. Continue to minimize on-screen exposure during screen shares and avoid capturing PII in recordings. - IT/facilities: Multi-monitor window-sharing complicates document handling; consider tooling or settings to make secure partial sharing easier. Restore camera uptime to baseline and ensure incident retrieval SLAs are met. - Knowledge management: Outlook search slowed retrieval of ownership materials. Consider a centralized, indexed repository for corporate structure charts to accelerate KYC responses. - Governance: Canadian board for Festool Canada remains Amity and Matt.
