## 1.  Meeting Summary
I met briefly with Lisa to clarify an HR-related question that came up around Chad's situation.  Lisa had been approached by Michael Carlson after Chris Devlin contacted him, and she wanted to confirm whether Michael was appropriately involved before sharing any additional detail.  I clarified that Michael is functioning as the CFO for that business and is appropriately close to financial and operational matters there, even though his involvement in HR topics can understandably feel unusual.  Lisa confirmed she had kept her comments limited to the fact that the performance concerns had been documented and that we were waiting on Chris to determine next steps.

We also touched on the HRIS review following the Paylocity call.  Based on Lisa's recollection, UKG is approximately $25 per employee per month versus Paylocity at roughly $32 per employee per month, with implementation costs still to be confirmed once the proposal comes through.  I noted that cost alone will not drive the decision.  I want to see the UKG demo and compare overall usability and fit before making any recommendation.

- Lisa's hesitation in speaking with Michael was reasonable given the sensitivity of the matter.  I clarified that Michael's role as acting CFO for that business explains why he had visibility into the issue.
- I noted that Amity has effectively delegated much of that company's financial oversight to Michael, although he still reports to her.
- I had already made Amity aware that I was looking into the severance topic, but she did not ask for additional detail.
- On the HRIS decision, my view remains that we should not optimize solely for lowest cost.  Usability, platform quality, and overall fit matter more than a narrow per-employee price comparison.
- At this stage, Lisa believes the functional capabilities between UKG and Paylocity may be very similar, so the demo and implementation comparison will be important in distinguishing the better option.
